COR•REC® End-User License Agreement

This End-User License Agreement (the “EULA”) is a legally binding agreement between you, the Licensee — an individual customer or entity — and CORGROUP® LLC, the company and author of COR•REC® Software (the “Software,” which may include associated media, printed materials, and online or electronic documentation). This Agreement includes terms that limit your legal rights and the Licensor's liability to you, and governs all access to and use of this Software. You agree, without limitation or alteration, to all the terms and conditions contained herein.
By installing, copying, or otherwise using the Software, the Licensee agrees to be bound by the terms of this EULA. If the Licensee does not agree, the Licensee may not download, install, or use the Software.
Definitions
- “EULA” refers to this End-User License Agreement, including any amendment to this Agreement.
- “Licensee” refers to the individual or entity that downloads and uses the Software.
- “Licensor” refers to the company or author, CORGROUP® LLC, located at 118 Broadway St., Ste. 608, San Antonio, TX 78205.
- “Software” means the COR•REC® Business Management and COR•REC® Software applications, including all associated documentation and updates.
- “Activation Code” is a unique code used to activate a single-user or multi-user license for the Software.
Grant of License
CORGROUP® LLC grants the Licensee a non-exclusive, non-sublicensable, and non-transferable license to download and use the Software, subject to the terms of this EULA.
License Options
- Single-User License: Permits installation and use of the Software on a single computing device only.
- Multi-User License (if applicable): Permits installation and use on a specified number of computing devices, as defined in the purchased license tier.
Additional Terms
- The Software is distributed by CORGROUP® LLC.
- The Licensee may not charge for distributing this Software, either for profit or merely to recover media and distribution costs.
- Any Software that updates, supplements, or replaces the original Software is governed by this Agreement unless separate license terms accompany it. In the case of separate terms, those terms govern in the event of a conflict.
Activation Code
The Activation Code is confidential and must be kept secure by the original holder. You are solely responsible for maintaining its confidentiality. You may not share, distribute, or disclose the Activation Code to any third party.
Multiple Use Detection and Termination
The Software is designed to detect unauthorized use of Activation Codes. If the Licensor detects that a single Activation Code is being used on multiple computer systems, the Licensor may, without notice or recourse, terminate the update function for all associated systems — meaning those systems will no longer receive critical security patches and functionality updates.
Intellectual Property
You unconditionally agree that all rights, titles, and interests in the copyrights and other intellectual property rights in the Licensed Product reside with the Licensor. The trademarks, logos, designs, and service marks appearing on the Licensed Product are registered and unregistered marks of the Licensor. Nothing in this EULA or the Licensed Product grants you any right to use any form of intellectual property contained in the Licensed Product.
All rights, titles, interests, and copyrights in and/or to the Software — including but not limited to all images, graphics, animations, audio, video, music, text, data, code, algorithms, and information — are owned by the Licensor. The Software is protected by all applicable copyright laws and international treaties.
Description of Rights and Limitations
We reserve all rights not expressly granted to you in this Agreement. Without limiting the foregoing, you will not do, authorize, or permit any third party to do, any of the following:
- a. distribute, sub-license, sell, assign, or otherwise transfer or make available the Software;
- b. use the Software for any purpose other than the Permitted Purpose;
- c. reverse engineer, decompile, disassemble, or otherwise attempt to discover or re-create the source code for the Software;
- d. modify, adapt, alter, improve, or create any derivative works of the Software;
- e. connect the Software with any other online services or use it in conjunction with software or services not provided or permitted by the Company;
- f. remove, circumvent, or create or use any workaround to any copy protection or security feature in or relating to the Software; or
- g. remove, alter, or obscure any copyright, trademark, or other proprietary rights notice on or in the Software.
Reproduction and Distribution
You may copy the installation file of this Software in its complete, unaltered form, but you may not, under any circumstances, distribute any software registration code for any of our programs without written permission.
Restrictions
You agree not to, and will not permit others to, license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Application or make it available to any third party.
Modifications to Application
CORGROUP® LLC reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you.
Support
CORGROUP® LLC has no obligation to provide Software support, or to continue providing or updating any of the Software.
General Provisions
Termination
Upon termination, all licenses provided under this EULA immediately terminate, and you agree to discontinue accessing or attempting to access this Licensed Product. This EULA may be:
- 1. Automatically terminated if the Licensee fails to comply with any of the terms and conditions under this EULA;
- 2. Terminated by CORGROUP® LLC; or
- 3. Terminated by the Licensee.
Either CORGROUP® LLC or the Licensee may terminate this EULA immediately upon written notice to the other party, including but not limited to electronic mail.
Non-Transferability
The Licensee may not assign or otherwise transfer this Agreement, or assign, sublicense, or otherwise transfer any rights under it, without the prior written consent of CORGROUP® LLC. Any attempted assignment without such consent will be void.
Notice
Any notice, report, approval, or consent required under this EULA shall be in writing and deemed duly given if delivered by recorded delivery to the respective addresses of the parties.
Integration
Both parties agree that this EULA is the entire and exclusive statement and legal acknowledgment of the mutual understanding of the parties, and supersedes and cancels any previous written and oral agreement and/or communication relating to the subject matter of this EULA.
Severability
No delay or failure to exercise any privilege, power, or right under this EULA operates as a waiver of any term. No single or partial exercise of any right precludes further exercise of any other right. If any provision is deemed unenforceable or invalid in whole or in part by a court of competent jurisdiction, that provision shall be limited to the minimum extent necessary for this EULA to remain in full force and effect, and the remaining provisions shall continue to be enforceable and valid.
Warranty and Disclaimer
CORGROUP® LLC expressly disclaims any warranty for the COR•REC® Software. The Licensed Product and all applicable documentation are provided as-is, without warranty of any kind, whether express or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Licensee accepts any risk arising out of the use or performance of the Software.
Limited Liability
The Licensee agrees that CORGROUP® LLC shall not be liable for any loss of use, profits, data, income, or savings, or any other consequential, incidental, special, punitive, direct, or indirect damage, whether arising in contract, tort, warranty, or otherwise — even if CORGROUP® LLC has been advised of the possibility of such damages. Under no circumstances shall CORGROUP® LLC's aggregate liability exceed the actual monetary amount paid, if any, by the Licensee to CORGROUP® LLC for the Software.
Indemnification
You agree to indemnify and hold CORGROUP® LLC harmless from and against all liabilities, damages, losses, or expenses, including reasonable attorney or other professional fees, in any claim, demand, action, or proceeding initiated by any third party against CORGROUP® LLC arising from any of your acts, including without limitation violating this EULA or any other agreement or applicable law.
Entire Agreement
This Agreement constitutes the entire understanding between CORGROUP® LLC and the Licensee and all parties involved. It supersedes all prior agreements, whether written or oral, express or implied.
Governing Law and Jurisdiction
This EULA shall be construed under the jurisdiction of the courts located in Texas, without regard to conflicts of laws. Any legal action relating to this EULA shall be brought exclusively in the courts of Texas, and all parties consent to that jurisdiction. The prevailing party in any action to enforce this EULA shall be entitled to recover costs and expenses, including without limitation legal fees. This EULA is made within the exclusive jurisdiction of San Antonio, Texas.
